TERMS AND CONDITIONS

TellJackson.com and CEI Media Group are divisions, trade names, and operating brands of Complete Entertainment Inc., an Illinois corporation duly registered with the Illinois Secretary of State.

This document applies to TellJackson.com. CEI Media Group maintains its own published Terms and Conditions for CEI Media Group services. Where a person or organization separately engages CEI Media Group services, those CEI Media Group terms and any applicable written agreement may also apply.

For purposes of these Terms, "Company," "we," "our," and "us" refer to Complete Entertainment Inc. and its applicable divisions, including TellJackson.com and, where relevant, CEI Media Group. "TellJackson.com" refers to the hyper-local destination concierge and neighborhood discovery service described below.

1. Acceptance

By accessing TellJackson.com, visiting the website, calling the dedicated phone line, interacting with any AI-powered service, purchasing a paid service, submitting information, advertising through the service, opting in to communications, or participating as a partner, you agree to these Terms.

If you do not agree to these Terms, you should not use TellJackson.com services.

2. Scope of TellJackson.com Services

TellJackson.com is a hyper-local destination concierge and neighborhood discovery engine designed to support tourism, improve trip planning, promote local businesses and events, and help visitors discover relevant destinations, services, experiences, transportation options, and community resources.

TellJackson.com may provide information through websites, AI chat systems, AI phone agents, email communications, SMS/text communications where users have opted in, content pages, promotional listings, advertiser placements, partner-supported content, itineraries, referrals, and related digital or communications tools.

TellJackson.com is not a travel agency, ticket broker, transportation provider, hotel operator, restaurant operator, event producer, government agency, emergency service, legal advisor, financial advisor, medical provider, or manager of the third-party destinations, businesses, events, websites, or services it may describe or refer users to.

3. Stakeholder Roles

TellJackson.com may interact with multiple types of stakeholders. These roles may overlap in some situations.

• Users are website visitors, callers, guests, tourists, residents, business travelers, community members, or other individuals who access, call, browse, use, communicate with, or receive information from TellJackson.com.
• Advertisers are entities that pay to promote their own products, services, locations, events, offers, messages, or brands using TellJackson.com services or placements.
• Partners are collaborators that may include nonprofit organizations, government agencies, private businesses, public businesses, community organizations, institutions, associations, or similar entities that engage in co-promotional, support, informational, referral, or community-strengthening activities with TellJackson.com.
• Purchasers are advertisers or users that complete transactions paid directly to TellJackson.com for services, placements, listings, advertising, sponsorships, reports, upgrades, or other paid offerings.

Partners are not co-owners of TellJackson.com, CEI Media Group, or Complete Entertainment Inc. Partners do not receive equity, ownership rights, governance rights, revenue rights, voting rights, or any stake in the parent company or its divisions unless a separate written agreement signed by Complete Entertainment Inc. expressly states otherwise.

4. SMS Messaging Terms

TellJackson.com may use Complete Entertainment Inc. communication systems and support channels. The following SMS Messaging Terms are incorporated for SMS/text communications:

By providing your phone number and opting in through our website or authorized forms, you consent to receive SMS text messages from Complete Entertainment Inc (dba TellJackson.com).

5. AI-Powered Service Disclaimer

TellJackson.com uses AI-powered systems, which may include automated chat, phone, voice, content, routing, itinerary, recommendation, search, and information tools.

Users, advertisers, partners, and purchasers acknowledge:

• AI outputs are algorithmic and may vary.
• Information may be incomplete, outdated, unavailable, misunderstood, or incorrect.
• Results, visitor traffic, sales, bookings, calls, clicks, impressions, conversions, trip outcomes, public response, or business performance are not guaranteed.
• Public-facing content, promotions, listings, advertisements, offers, and communications should be reviewed by the responsible advertiser, partner, purchaser, or submitting party before use when review is available or required by contract.
• TellJackson.com may use human review, automated review, or no review depending on the service, system, timing, content type, and operational requirements.
• Users should verify important information with the official destination, business, event organizer, transportation provider, government source, ticketing platform, reservation provider, or other appropriate third party before relying on it.

6. Third-Party Websites, Referrals, Destinations, Businesses, and Events

TellJackson.com refers users to several third-party websites, destinations, attractions, businesses, events, service providers, ticketing platforms, reservation systems, transportation resources, maps, public agencies, advertisers, partners, and community resources that are not under the control or management of Complete Entertainment Inc. or its divisions.

These referrals are provided for information, convenience, discovery, promotion, or planning support only. TellJackson.com is not responsible or liable for any transaction, purchase, reservation, booking, ticket, cancellation, refund, change, service failure, injury, loss, omission, dispute, representation, delay, accessibility issue, safety issue, customer service issue, or other matter involving any third-party website, destination, event, business, provider, advertiser, partner, or service.

This limitation applies regardless of whether the third party is an advertiser, a partner, a featured business, a recommended option, a listed resource, a linked website, or an unaffiliated third party.

When users leave TellJackson.com or interact with a third party, that third party may have its own terms, privacy policies, payment rules, refund policies, cancellation rules, accessibility policies, safety rules, and customer service procedures. Users are responsible for reviewing and following those third-party requirements.

7. User Responsibilities

Users agree to use TellJackson.com lawfully, responsibly, and for legitimate travel, tourism, discovery, planning, promotional, business, or community purposes.

Users agree not to misuse the service, interfere with its operation, submit unlawful or harmful content, impersonate others, attempt unauthorized access, use the service for illegal activity, or rely on TellJackson.com as a substitute for emergency services, professional advice, official instructions, or direct confirmation from third parties.

If a user is experiencing an emergency or believes there is an immediate threat to safety, the user should contact 9-1-1 or the appropriate emergency service first. TellJackson.com is not an emergency response provider.

8. Advertisers and Paid Promotional Placements

Advertisers are responsible for the accuracy, legality, completeness, permissions, claims, pricing, availability, rights, images, logos, offers, promotions, and representations included in materials they submit or approve for use through TellJackson.com.

TellJackson.com may accept, reject, edit, format, pause, remove, label, schedule, or decline advertising or promotional content at its discretion, subject to any separate written agreement.

Advertising does not guarantee placement position, impressions, clicks, conversions, visitor traffic, sales, calls, bookings, revenue, public response, search visibility, or any particular business outcome unless a separate written agreement expressly provides a specific obligation.

Advertisers do not receive ownership rights, editorial control over TellJackson.com, control over AI responses, access to confidential data, or authority to bind Complete Entertainment Inc. or its divisions unless a separate written agreement expressly provides otherwise.

9. Partners and Co-Promotional Relationships

Partners may collaborate with TellJackson.com to support tourism, neighborhood discovery, local economic activity, public information, event awareness, visitor guidance, community promotion, destination marketing, or related initiatives.

Partner participation may include co-promotion, referrals, informational support, sponsorship support, content collaboration, destination support, business district support, public service alignment, or other support services that strengthen TellJackson.com and its community-serving purpose.

A partner relationship does not create a legal partnership, joint venture, agency relationship, employment relationship, franchise, fiduciary relationship, ownership interest, or shared control of Complete Entertainment Inc., CEI Media Group, or TellJackson.com unless a separate written agreement signed by Complete Entertainment Inc. expressly states otherwise.

Partners remain responsible for their own operations, communications, services, events, public statements, websites, staff, contractors, programs, funding, compliance obligations, and public-facing representations.

10. Purchases and Paid Transactions with TellJackson.com

Purchasers are advertisers or users that complete transactions paid directly to TellJackson.com. Paid transactions may include advertising, sponsorships, listings, promotional services, reports, upgrades, content services, concierge-related services, or other paid offerings made available by TellJackson.com.

Purchases paid directly to TellJackson.com are subject to the applicable order form, invoice, checkout terms, contract, written proposal, posted description, or other written payment terms provided at the time of purchase.

Unless otherwise stated in writing, fees paid to TellJackson.com are not payments to third-party businesses, destinations, events, ticketing platforms, hotels, restaurants, transportation providers, partners, or advertisers.

TellJackson.com is not responsible for purchases, charges, refunds, cancellations, reservations, tickets, subscriptions, or transactions completed with third-party websites or services, even when the third party was mentioned, advertised, referred, linked, promoted, or displayed through TellJackson.com.

11. Content, Listings, Accuracy, and Availability

TellJackson.com may publish or provide information about destinations, events, businesses, transportation, parking, hours, accessibility, weather, safety, reservations, tickets, itineraries, offers, community resources, and other visitor-facing topics.

Information may change without notice. Events may be canceled or rescheduled. Hours, prices, menus, ticket availability, transportation routes, parking rules, weather, safety conditions, accessibility accommodations, and business operations may change at any time.

TellJackson.com may update, correct, remove, reorganize, summarize, promote, or deprioritize content at its discretion. TellJackson.com does not guarantee that any listing, advertiser, partner, destination, event, or business will remain available, visible, accurate, current, or included in any particular way.

12. Intellectual Property

Unless otherwise specified in a separate written agreement:

• Complete Entertainment Inc. retains ownership of TellJackson.com, CEI Media Group, proprietary systems, AI frameworks, workflows, prompts, training materials, datasets, brand assets, original content, templates, platform designs, user experiences, and related intellectual property.
• Advertisers, partners, users, and purchasers retain responsibility for the rights, permissions, and accuracy of content, logos, trademarks, images, materials, or information they provide.
• By submitting materials to TellJackson.com, the submitting party grants Complete Entertainment Inc. and its applicable divisions permission to use, reproduce, display, distribute, format, adapt, summarize, promote, and publish those materials as reasonably necessary to provide the service, fulfill a purchase, support a promotion, or operate TellJackson.com.
• Custom deliverables, if any, are governed by the applicable written contract, proposal, invoice, or statement of work.
• Complete Entertainment Inc. may create and distribute original or AI-generated content for its own commercial, promotional, editorial, informational, and community-serving benefit.

13. Communications and Contact

TellJackson.com may communicate with users, advertisers, partners, and purchasers through the website, phone systems, AI systems, email, SMS/text messages where users have opted in, forms, invoices, contracts, support channels, or other service-related methods.

Questions or requests regarding privacy or communications should be directed to privacy@ceimediagroup.com.

SMS/text assistance, opt-out, HELP instructions, carrier liability, age restriction, and privacy notice terms are addressed in Section 4 above.

14. Warranty Disclaimer

ALL SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMPLETE ENTERTAINMENT INC., CEI MEDIA GROUP, AND TELLJACKSON.COM DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING:

• MERCHANTABILITY
• FITNESS FOR A PARTICULAR PURPOSE
• NON-INFRINGEMENT
• UNINTERRUPTED OR ERROR-FREE OPERATION
• ACCURACY, COMPLETENESS, TIMELINESS, OR AVAILABILITY OF INFORMATION
• ANY PARTICULAR TRAVEL, TOURISM, SAFETY, BUSINESS, ADVERTISING, PROMOTIONAL, OR COMMERCIAL OUTCOME

15. Limitation of Liability

To the maximum extent permitted by law:

• Complete Entertainment Inc., CEI Media Group, and TellJackson.com shall not be liable for indirect, incidental, consequential, punitive, exemplary, or special damages.
• Complete Entertainment Inc., CEI Media Group, and TellJackson.com shall not be liable for delayed or undelivered SMS/text messages; third-party transactions; third-party websites; third-party services; destination operations; event changes; business closures; cancellations; refunds; transportation issues; weather conditions; safety incidents; accessibility issues; user decisions; advertiser claims; partner actions; or information changes outside their control.
• For purchasers, total liability shall not exceed the total fees paid directly to TellJackson.com by the purchaser for the specific service giving rise to the claim during the preceding twelve (12) months.
• For users who have not paid TellJackson.com directly, total liability shall be limited to the maximum extent permitted by applicable law.

16. Indemnification

Users, advertisers, partners, and purchasers agree to indemnify and hold harmless Complete Entertainment Inc., CEI Media Group, TellJackson.com, and their officers, directors, employees, contractors, vendors, agents, representatives, successors, and assigns from claims arising from:

• Misuse of TellJackson.com services.
• Violation of these Terms.
• Violation of communication laws or other applicable laws.
• Infringement, misappropriation, or unauthorized use of intellectual property, publicity rights, privacy rights, or third-party materials.
• False, misleading, unlawful, incomplete, or inaccurate advertiser, partner, purchaser, or user-provided materials.
• Third-party claims related to transactions, promotions, content, services, referrals, listings, events, offers, or campaigns submitted, approved, or requested by the indemnifying party.
• Regulatory penalties, customer claims, chargebacks, disputes, or investigations related to the indemnifying party's campaigns, communications, offers, products, services, or operations.

17. Force Majeure

Complete Entertainment Inc., CEI Media Group, and TellJackson.com shall not be liable for failure to perform or delay in performance due to causes beyond their reasonable control, including acts of God, severe weather, emergencies, public safety events, cyberattacks, governmental actions, labor disputes, infrastructure failures, platform outages, carrier failures, utility failures, payment processor failures, third-party system failures, or events outside their reasonable control.

18. Dispute Resolution - Binding Arbitration

Any dispute arising from these Terms shall be resolved through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules.

• Arbitration shall take place in Cook County, Illinois.
• The arbitrator's decision shall be final and binding.
• Judgment may be entered in any court of competent jurisdiction.

19. Class Action Waiver

To the fullest extent permitted by law:

• Disputes must be brought individually.
• No class actions, collective actions, or representative proceedings are permitted.
• You waive any right to participate in a class action against Complete Entertainment Inc., CEI Media Group, or TellJackson.com.

20. Governing Law

These Terms shall be governed by the laws of the State of Illinois, without regard to conflict of law principles.

21. Changes to These Terms

TellJackson.com may update these Terms from time to time. The effective date shown above will identify the version in effect. Continued use of TellJackson.com after updates are posted or otherwise made available constitutes acceptance of the updated Terms.
